Provides general legal assistance to in-house counsel and internal clients with primary responsibility for corporate governance and insurance regulatory matters. Works on healthcare business legal issues, government programs compliance filings (Medicare/Medicaid), transactional matters, mergers and acquisitions, corporate record keeping, employment law, contract review and general litigation.
Essential Functions:
  • Assists the Corporate Secretary with corporate governance matters for board of directors including maintaining the corporate minute and board books of all Company affiliates. Researches and analyzes moderately complex legal issues confronting the Company and its operations outlining applicable solutions and strategies
  • Acts as liaison and internal client point of contact regarding various legal issues, regulatory compliance reporting requirements, corporate structure, entity information and other corporate governance matters
  • Identifies and interprets regulatory laws applicable to Company operations
  • Determines statutory compliance strategies and reporting requirements
  • Prepares regulatory filings in support of statutory requirements
  • Coordinates and assists with due diligence in connection with corporate transactions, and mergers and acquisitions
  • Assists in maintaining all project related materials (e.g. action plans, tracking tools)
  • Assists company in defensive and offensive litigation
  • Reviews and provides legal analysis of various contracts
  • Proposes solutions to problems identified for discussion with supervising attorneys
  • Supervise, advise and instruct internal clients on regulatory compliance and corporate governance
Education: B.A. in Legal, Business Administration or related field, or equivalent combination of education and experience. Preferred advanced degree or advanced certification in legal profession
Experience: 4 years of relevant experience which may include prior law firm or corporate legal department experience
Solid experience in corporate governance, business transactions, healthcare regulations and litigation
Solid understanding of moderately complex laws and regulations
Relies on extensive legal experience, knowledge and judgment to plan and accomplish goals
Administrative and/or policy experience, particularly in the legal, insurance and/or healthcare field
Technical Skills/Requirements: Extensive knowledge of Microsoft Office including Outlook, Word, Excel, Access and PowerPoint
